Because we'd lose all the mods and would have to rebuild a template. This version of Phpbb2 is so heavily modified, it's literally not the same code anymore.

Please give me several good reasons for upgrading (adding yet more to my work load) and I'll consider it.

Well, phpbb3 is more secure. Polish Freespace forum is already spambotted (phpbb2).
Also there's option for saving post drafst etc etc.
